M&I Brokerage Invest Online Services Agreement
(Addendum)

This agreement is required in addition to the M&I Brokerage Services, Inc. ("MIBS") Agency Agreement:

If you're an existing customer of MIBS, you need only complete this form.

If you're a NEW customer, complete this Addendum along with the M&I Brokerage Account Agreement.

M&I Brokerage Services, Inc. is a registered securities broker-dealer, not a bank. Investments through M&I Brokerage Services are not deposits or obligations of, nor guaranteed by, any M&I Bank or any other M&I affiliate. Securities are not insured by the FDIC or any other federal agency, and involve investment risks, including the possible loss of principal.

I. Online Brokerage Services.

A.: M&I Brokerage Invest Online services permit me to transmit orders to purchase and sell securities electronically through my computer, to communicate electronically with MIBS regarding my accounts, and to gain the benefit of the services which MIBS may make available online from time to time. I hereby request MIBS to provide me with M&I Brokerage Invest Online and authorize MIBS to carry out my online directions with respect to the account(s) listed above. I understand and agree that, for our mutual protection, MIBS may monitor my electronic communications with MIBS.

B.: I understand that I am authorized to use materials which are made available through the M&I Brokerage Invest Online only for my own needs, and that I am not authorized to resell access to any such materials or to make copies of any such materials for sale to others. I agree not to delete copyright or other intellectual property rights notices from printouts of electronically accessed materials.

C.: There is no fee for access to M&I Brokerage Invest Online. However, regular fees and charges indicated on the MIBS fee schedule apply, and there may be fees and charges for other service available through use of M&I Brokerage Invest Online prior to any termination thereof.

II. Online Communication. Transactions initiated online will be reported on my regular monthly statements. Confirmation notices will be sent to me via regular U.S. mail. Other communications regarding my account(s) may be sent to me at my postal or e-mail address, or to any new postal or e-mail address of which I inform you in writing, at the discretion of MIBS. All communications you send to the last address I provided to you, whether by mail, e-mail, or otherwise, shall be deemed given to me personally whether or not I actually received the message.

III. Online Password.

A.: I will be given a number, code, or other sequence which provides access to each of my accounts with MIBS (the "Password"). I will also have an identification number, code, or other sequence which enables me to access MIBS through M&I Brokerage Invest Online (the "ID"); the ID will usually be my brokerage account number. I agree that I will be the sole and exclusive owner of the Password and of the ID that I use.

B.: I accept full responsibility for use and protection of the Password and the ID, as well as for any transaction occurring in an account opened, held, or accessed through the Password or the ID, and I agree that MIBS may presume that any order entered by a person using the Password or the ID is authorized by me. If I allow third parties to access M&I Brokerage Invest Online (including my accounts), I will defend and indemnify you against any liability, costs, or damages arising out of claims or suits by third parties based upon or relating to such access and use.

IV. Liability.

A.

I accept full responsibility for monitoring my accounts. I will notify MIBS immediately in writing if I become aware of:

Any loss, theft, or unauthorized use of the Password, ID, or account number(s);
Any failure to receive a message from MIBS indicating that an order was received and/or executed;
Any failure to receive an accurate written confirmation of any execution;
Any confirmation of an order and/or execution that I did not place; or
Any inaccurate information in my account balances, securities positions, or transaction history.

B.: If I fail to notify you in writing when any of the above conditions occur, MIBS will not have any responsibility or liability for any claims with respect to the handling or loss of order. UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL MIBS OR ANY OF ITS AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF OR INABILITY TO USE M&I Brokerage Invest Online OR ANY BREACH OF ANY WARRANTY, WITH REGARD TO MI-BROKER ON-LINE, EVEN IF MIBS HAS BEEN ADVISED OF THE POSSIBLITY OF SUCH DAMAGES. This limitation of liability will not apply only to the extent that any applicable status prohibits such limit of liability. ANY LIABLITY ARISING OUT OF ANY ACTION OR OMISSION BY MIBS SHALL BE LIMITED TO AN AMOUNT EQUAL TO THE BENEFIT WHICH THE TRANSCTION WOULD HAVE RESULTED IN DURING THE PERIOD BETWEEN THE DATE OF THE TRADE AND THE TIME FOR SETTLEMENT UNDER ANY APPLICABLE LAW, RULE, OR REGULATION.

C.: MIBS shall not be deemed to have received any order, notice, or other communication transmitted through M&I Brokerage Invest Online or otherwise, until you have actual knowledge of such order.

D.: The use and storage of any information including, without limitation, the Password, the ID, account numbers and balances, transaction activity, and any portfolio information or other information or orders available on your personal computer is my sole risk and responsibility. I am responsible for providing and maintaining the communications equipment (including personal computers and modems) and telephone or alternative services required for accessing and using M&I Brokerage Invest Online, and for all costs, fees, and charges incurred by me in accessing M&I Brokerage Invest Online.

E.: I understand and expressly agree that my use of M&I Brokerage Invest Online, and of any software provided for use in accessing M&I Brokerage Invest Online, is at my sole risk. Neither MIBS, nor its directors, officers, employees, agents, affiliates, contractors, information providers, licensors, or other suppliers providing data, information, or services including, but not limited to, the New York Stock Exchange, Inc. (collectively, the "Disseminating Parties"), warrants that M&I Brokerage Invest Online will be uninterrupted or error free, nor do any of the Disseminating Parties make any representation or warranty as to the results that may be obtained by using M&I Brokerage Invest Online, or as to the timeliness, sequence, accuracy, completeness, reliability, or content of any information, service, or transaction provided for use in accessing M&I Brokerage Invest Online.

F.: M&I Brokerage Invest Online IS PROVIDED ON AN "AS IS", " AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION, THOSE OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPLIED BY AND INCAPABLE FOR EXCLUSION, RESTRICTION, OR MODIFICATION UNDER, THE LAWS APPLICABLE TO THIS AGREEMENT.
No disseminating Party shall be liable in any way to me or to any other person regarding M&I Brokerage Invest Online for (i) any inaccuracy, error, or delay in, or omission of (a) any data, information, or message, or (b) the transmission or delivery of any such data, information, or message; or (ii) any loss or damage arising from or occasioned by (x) any such inaccuracy, error, delay, or omission, (y) non-performance, or (z) interruption in any such data, information, or message, for any reason other than gross negligence on the part of any Disseminating Party.

I(we) understand that this Online Services Agreement is an addendum to the M&I Brokerage Services Agency Agreement, which contains a predispute arbitration clause in Paragraph 17. By signing this Addendum, the applicant(s) acknowledge receipt of a copy of the Agency Agreement and Addendum.
